This Content Submission Agreement ("Agreement") governs any submission by you to justwood.it ("Justwood"), and includes, but is not limited to, written text, photographic or video files and content, pdf files, computer-aided drafts or drawings (CAD files), whether transmitted electronically or by any other transmission method for displaying and publishing by Justwood.
- You must agree to the terms of this Agreement as evidenced by your (a) signing and returning a copy of this Agreement to Justwood, (b) responding to Justwood email with a return email that indicates that you accept the terms of this Agreement or (c) by clicking you agree to this Agreement while uploading the video or photographic file at Justwood website.
- The terms of this Agreement are as follows: (1) Submissions: You have submitted, hereby submit, or intend to submit, video and or photographic files ("Videos") and/or textual, image and/or other content ("Additional Content"). Videos and Additional Content are collectively referred to as "Submissions" or "Projects."
- Whether or not such Submissions are published by Justwood on your behalf, Justwood does not guarantee any confidentiality with respect to any Submissions. You will be solely responsible for your Submissions and the consequences of any posting or publishing of them, whether by Justwood or any of its vendors or affiliates or otherwise.
- In connection with Submissions, you affirm, represent, and warrant that you own or have all the necessary licenses, rights, consents, and permissions to use, or are the original author of said Submissions, and authorize Justwood to use all patent, trademark, trade secret, copyright, rights of privacy, rights of publicity, moral rights or other proprietary rights in and to any and all Submissions to enable inclusion and use of the Submissions on the Justwood website located at https://Justwood.it, or any other internet addresses used now or in the future by Justwood (the "Website") or in any other publication arranged by Justwood.
- For clarity, you retain all copyrights and ownership rights in your Submissions. However, by submitting Submissions to Justwood, you grant to Justwood a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Submissions in connection with the Website and Justwood (and its successors and affiliates) business, including without limitation for promoting and redistributing part or all of the Website (and derivative works of the same) in any media formats and through any media channels.
- You also grant each user of the Website a non-exclusive license to access and view your Submissions through the Website. You may at anytime request that Justwood remove your Submissions from the Website by sending an email containing such request through our online contact form (a “Removal Request”). Within 30 days after your Removal Request, Justwood will remove your Submissions from the Website. Justwood may retain server copies of Submissions that have been removed or deleted.
- The above licenses granted by you in Submissions will terminate 30 days after your Removal Request.
- You will not submit Submissions subject to third party proprietary rights, including privacy and publicity rights unless you have permission to post the material and to grant Justwood all of the license rights granted in this Agreement.
- You may not submit material containing pornography, obscene or defamatory material, animal abuse, drug abuse, under-age drinking and smoking, bomb-making, gross-out videos of accidents, dead bodies or similar things intended to shock or disgust, hate speech (speech which attacks or demeans a group based on race or ethnic origin, religion, disability, gender, age, veteran status, and sexual orientation/gender identity) or other inappropriate material. Justwood does not endorse any Submission or any opinion, recommendation, or advice expressed in the Submissions.
- Justwood expressly disclaims any and all liability in connection with Submissions. Justwood does not permit copyright infringing activities and infringement of intellectual property rights on its Website. Justwood will remove all Submissions if properly notified that such Submission infringes on anyone’s intellectual property or ownership rights. Justwood may remove Submissions without prior notice.
- Refusal to Publish: Justwood may remove or not publish such Submissions for any or no reason, without prior notice and at its sole discretion.
- Digital Millennium Copyright Act: Justwood complies with, and takes advantage of the benefits of, the Digital Millennium Copyright Act (“DMCA”) pursuant to the Justwood Terms and Conditions, which are located at https://www.justwood.it/terms-and-conditions/ (the "Justwood Terms of Use").
- You agree to the terms of, and to be bound by, the DMCA Policy and the Justwood Terms of Use, as each may be amended by Justwood at any time and from time to time in Justwood sole discretion.
- Warranty Disclaimer: TO THE FULLEST EXTENT PERMITTED BY LAW, JUSTWOOD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE USE AND PUBLICATION OF THE SUBMISSIONS. JUSTWOOD ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES, AND/OR (II) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE WEBSITE.
- Limitation of Liability: IN NO EVENT WILL JUSTWOOD, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF SUBMISSIONS OR THEIR PUBLICATION, AND/OR (II) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE WEBSITE. THE FOREGOING LIMITATION OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. The Website is controlled and offered by Justwood from its facilities in France. Justwood makes no representations that the Website is appropriate or available for use in other locations.
- Indemnity: You will defend, indemnify and hold harmless Justwood, its affiliates, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your violation of any term of this Agreement; (ii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iii) any claim that any of your Submissions caused damage to a third party. This defense and indemnification obligation will survive any termination of this Agreement.
- Assignment: This Agreement, and any rights and licenses granted in this Agreement, may not be transferred or assigned by you but may be assigned by Justwood without restriction.
- General: This Agreement will be governed by the internal substantive laws of the State of California, without respect to its conflict of laws principles. Any claim or dispute between you and Justwood will be decided exclusively by a court of competent jurisdiction located in Orange County, California. This Agreement will constitute the entire agreement between you and Justwood concerning the Submissions.
- If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision will not affect the validity of the remaining provisions of this Agreement, which will remain in full force and effect. No waiver of any term of this Agreement will be deemed a further or continuing waiver of such term or any other term, and Justwood failure to assert any right or provision under this Agreement will not constitute a waiver of such right or provision.
